TRAINING AUTHORIZED USER SERVICE SPECIFIC TERMS

These Training Authorized User Service Specific Terms (the "Training Authorized User Terms") are Authorized User Service Specific Terms under the Authorized User Terms of Use located at https://advance911.ai/legal/authorized-user-terms and govern your access to and use of the Training Services provided to you ("you" or "your") for use pursuant to and subject to a Service Order Form ("Service Order Form") and Cloud Services Agreement located at https://advance911.ai/legal/cloud-services-agreement as may be amended from time to time, (the "Cloud Services Agreement" together with the Service Order Form, the "Agreement") between Advance Together AI Incorporated ("Provider", "we", or "us") and your employer or other person or entity who is authorized to use the Services ("Customer"). These Training Authorized User Terms supplement the Authorized User Terms of Use and apply only to Training Services ordered under an applicable Service Order Form. These Training Authorized User Terms do not supersede or amend the Authorized User Terms of Use. In the event of any conflict between these Training Authorized User Terms and the Authorized User Terms of Use, the Authorized User Terms of Use will control to the extent of such conflict.

BY CLICKING THE "ACCEPT" BUTTON AND BY USING THE TRAINING SERVICES YOU: (i) REPRESENT THAT YOU ARE DULY AUTHORIZED BY CUSTOMER TO ACCESS AND USE THE TRAINING SERVICES; AND (ii) ACCEPT THESE TRAINING AUTHORIZED USER TERMS AND AGREE THAT YOU ARE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TRAINING AUTHORIZED USER TERMS, DO NOT CLICK THE "ACCEPT" BUTTON AND YOU WILL HAVE NO AUTHORIZATION TO, AND MUST NOT ACCESS OR USE, THE SERVICES.

  1. Definitions. Capitalized terms used in these Training Authorized User Terms without definition shall have the meanings given to them in the Authorized User Terms of Use located at https://advance911.ai/legal/authorized-user-terms (the "Authorized User Terms of Use"). The following terms shall have the following meanings:

    (a) "Training Services" means the training services provided by Provider under these Authorized User Terms of Use and the Agreement with the Customer and reflected in the Customer's order.

  2. Likeness.

    (a) WE ARE ENTITLED TO USE YOUR VOICE AND VOICEPRINT IN ANY WAY WE DETERMINE IN OUR SOLE DISCRETION TO PROVIDE THE SERVICES, INCLUDING TRAINING AND EVALUATION BY THE SERVICES (THE "PURPOSE"). YOU GRANT US A FULLY PAID, IRREVOCABLE, PERPETUAL, NON-EXCLUSIVE LICENSE TO USE, DISPLAY, PUBLICLY PERFORM, EXHIBIT, REPRODUCE, LICENSE, AND PERMIT OTHERS TO USE YOUR VOICE, VOICEPRINT, AND ALL MATERIALS CREATED BY OR ON BEHALF OF US THAT INCORPORATE ANY OF THE FOREGOING ("MATERIALS") FOR THE PURPOSE THROUGHOUT THE UNIVERSE IN ANY MEDIUM OR FORMAT WHATSOEVER NOW EXISTING OR HEREAFTER CREATED.

    (b) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY IRREVOCABLY WAIVE ALL LEGAL AND EQUITABLE RIGHTS RELATING TO ALL LIABILITIES, CLAIMS, DEMANDS, ACTIONS, SUITS, DAMAGES, AND EXPENSES, INCLUDING BUT NOT LIMITED TO CLAIMS FOR COPYRIGHT OR TRADEMARK INFRINGEMENT, INFRINGEMENT OF MORAL RIGHTS, LIBEL, DEFAMATION, INVASION OF ANY RIGHTS OF PRIVACY (INCLUDING INTRUSION UPON SECLUSION, FALSE LIGHT, PUBLIC DISCLOSURE OF PRIVATE FACTS, AND MISAPPROPRIATION OF NAME OR LIKENESS), VIOLATION OF RIGHTS OF PERSONALITY OR PUBLICITY, PHYSICAL OR EMOTIONAL INJURY OR DISTRESS, OR ANY SIMILAR CLAIM OR CAUSE OF ACTION IN TORT, CONTRACT OR ANY OTHER LEGAL THEORY, NOW KNOWN OR HEREAFTER KNOWN IN ANY JURISDICTION THROUGHOUT THE WORLD (COLLECTIVELY, "CLAIMS") ARISING DIRECTLY OR INDIRECTLY FROM PROVIDER'S EXERCISE OF ITS RIGHTS UNDER THESE TRAINING AUTHORIZED USER TERMS OR THE PRODUCTION, EXHIBITION, EXPLOITATION, ADVERTISING, PROMOTION, OR OTHER USE OF THE MATERIALS, AND WHETHER RESULTING IN WHOLE OR IN PART BY THE NEGLIGENCE OF ARTIST OR ANY OTHER PERSON, COVENANT NOT TO MAKE OR BRING ANY SUCH CLAIM AGAINST ARTIST, AND FOREVER RELEASES AND DISCHARGES PROVIDER FROM LIABILITY UNDER SUCH CLAIMS. YOU UNDERSTAND THAT WE ARE RELYING ON THESE TRAINING AUTHORIZED USER TERMS AND WILL INCUR SIGNIFICANT EXPENSE IN RELIANCE ON THESE TRAINING AUTHORIZED USER TERMS, AND YOU AGREE THAT THIS SECTION 2(b) SHALL SURVIVE TERMINATION OR EXPIRATION.
