TRAINING SERVICE SPECIFIC TERMS

These Training Service Specific Terms (the "Training Terms") are Service Specific Terms under the Cloud Services Agreement (located at https://advance911.ai/legal/cloud-services-agreement) between Advance Together AI Incorporated ("Provider") and Customer identified on the Service Order Form as the customer ("Customer"). These Training Terms supplement the Cloud Services Agreement and apply only to Training Services ordered under an applicable Service Order Form. These Training Terms do not supersede or amend the Cloud Services Agreement. In the event of any conflict between these Training Terms and the Cloud Services Agreement, the Cloud Services Agreement will control to the extent of such conflict. The order of precedence among the Service Order Form, the Cloud Services Agreement, and these Training Terms is set out in the applicable Service Order Form.
BY SIGNING THE SERVICE ORDER FORM OR USING THE TRAINING SERVICES CUSTOMER: (A) ACKNOWLEDGES THAT IT HAS READ AND UNDERSTANDS THESE TRAINING TERMS; (B) REPRESENTS AND WARRANTS THAT CUSTOMER HAS THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THE AGREEMENT; AND (C) ACCEPTS THESE TRAINING TERMS AND AGREES THAT CUSTOMER IS LEGALLY BOUND BY ITS TERMS.
IF CUSTOMER DOES NOT AGREE TO THESE TRAINING TERMS, PLEASE DO NOT SIGN ANY SERVICE ORDER FORM. IF CUSTOMER DOES NOT ACCEPT THESE TRAINING TERMS, CUSTOMER MAY NOT ACCESS OR USE THE TRAINING SERVICES.

Definitions. Capitalized terms used in these Training Terms without definition shall have the meanings given to them in the Cloud Services Agreement located at https://advance911.ai/legal/cloud-services-agreement (the "Cloud Services Agreement") or, if not defined in the Cloud Services Agreement, the applicable Service Order Form. The following terms shall have the following meanings:
(a) "Total Hours" means the allotted number of hours of Training Services usage per calendar month under Customer's chosen Package, including any Additional Hours purchased.

Allotted Hours. Customer will not exceed the Total Hours, except as expressly agreed to in writing by the Parties and subject to any appropriate adjustment of the Fees payable hereunder. If Customer exceeds the allotted hours for the month, they must either cease using the Training Services or purchase Additional Usage Blocks, which may be acquired directly through the Services.

Further Use Restrictions. This Section supplements, and does not limit, Section 2(c) (Use Restrictions) of the Cloud Services Agreement. Customer shall not, and shall not permit any other person to: (i) access or use the Provider IP in conjunction with sensitive information; (ii) access or use the Provider IP with phone numbers for which Customer does not have permission; or access or use the Provider IP for real 911 calls.

Customer Responsibilities.
(a) Training Disclaimer. CUSTOMER ACKNOWLEDGES AND AGREES THAT THE PROVIDER IP SHALL NOT BE USED AS A REPLACEMENT FOR OTHER FORMS OF TRAINING OF CUSTOMER'S PERSONNEL AND PROVIDER MAKES NO GUARANTEES WITH RESPECT TO THE PERFORMANCE AND TRAINING OF CUSTOMER'S PERSONNEL.
(b) Likeness. Customer shall be responsible for ensuring it is entitled to use its Authorized Users' voices and voiceprints with the Training Services.

Further Representations and Warranties. Customer further represents, warrants, and covenants to Provider that Provider may use Customer's Authorized Users' voices and voiceprints with the Training Services to enable Provider to use, display, publicly perform, exhibit, reproduce, license, and permit others to use Authorized Users' voices, voiceprints, and all materials created by or on behalf of Provider that incorporate any of the foregoing for the provision of the Training Services to Customer.

Indemnification (Training Services). This Section supplements, and does not limit, Section 12 (Indemnification) of the Cloud Services Agreement. In addition to Customer's obligations under Section 12(a) of the Cloud Services Agreement, Customer shall indemnify, hold harmless, and, at Provider's option, defend each Provider Indemnitee from and against any and all Losses incurred by such Provider Indemnitee resulting from any Action by a third party (other than an affiliate of a Provider Indemnitee) that arises out of or results from, or is alleged to arise out of or result from, the use of the voices and voiceprints of Customer's personnel (including its Authorized Users). The indemnification procedure in Section 12(b) of the Cloud Services Agreement applies to Customer's indemnification obligations under this Section to the same extent as to Customer's obligations under Section 12(a) in the Cloud Services Agreement.

Authorized Users. Customer shall ensure that its Authorized Users comply with any end-user-facing requirements communicated by Provider for the Training Services.
